The general terms and conditions

The general terms and conditions of delivery of the private limited company Jetmail B.V. in Hillegom.

1) Applicability

1) These conditions apply to all our offers, quotations, and agreements concerning the sale and delivery of goods, the performance of services in the broadest sense of the word, as well as to the provision of personnel, spaces, materials, and the like.

2) Deviations from these conditions are only binding if and insofar as expressly confirmed in writing by Jetmail. Deviations in favor of a client in a specific case can never be interpreted as disregarding or waiving these conditions.

3) If the offer and acceptance refer to different general terms and conditions, these terms and conditions shall apply. The applicability of other general terms and conditions is expressly rejected.

2) Offers

1) All our offers and quotations are without obligation. The offer or quotation may still be revoked by Jetmail after acceptance. The content of Jetmail's written confirmation determines the content of the agreement.

2) Jetmail is not bound by an offer or written confirmation containing obvious errors or miscalculations.

3) If the quantities, formats, or weights mentioned in the offers or prospectus are changed, or if deviations are found during the execution of an order from the order confirmation, Jetmail reserves the right to charge the changed or deviated items at the applicable price without prior notice to or approval from the client.

3) Delivery time

1) Jetmail shall never be liable for exceeding an agreed delivery or execution time unless in cases of intent or gross negligence on its part.

2) Jetmail's liability is always limited to the amount of the handling fee.

3) If Jetmail cannot reasonably be required to fulfill the agreement, performance cannot be demanded. In such a case, Jetmail has the right to cancel the agreement in whole or in part without being obliged to pay any compensation.

4) The delivery time for mailings, printed matter, and the like is always the date on which the material is handed over by Jetmail to TPG Post or courier service for dispatch, and never the date of receipt by the addressee.

4) Prices

1) Unless otherwise stated, all our offers and the prices mentioned therein are exclusive of the applicable VAT, which is charged separately.

2) Jetmail reserves the right to charge the client for any interim increases in raw material prices, labor costs, taxes, excise duties, and other costs payable to third parties. The client is entitled to dissolve the agreement in such a case.

3) An advance invoice will be sent for any postage costs. The amount of this invoice must be received by Jetmail before the date of dispatch.

4) Jetmail is also entitled to demand an advance payment for other costs, such as handling, to be paid before the commencement of the execution of the order. Jetmail has the right to suspend the execution of an order until after receipt of the advance payment.

5) All other payments must be made within 14 days of the invoice date. No discount for cash payments is granted.

6) If an invoice is not paid to Jetmail on time, interest of 1% per month or part of a month will be due from the due date. All legal and extrajudicial costs incurred by Jetmail due to late payment will be fully borne by the client. The extrajudicial costs are set at a minimum of 15% of the outstanding amount, with a minimum of €114.

5) Other provisions

1) Delivery of addresses:
Although Jetmail strives for completeness and accuracy in the specification of quantities and prices, Jetmail accepts no liability for the completeness of the information it provides.

2) Material delivery:
Material to be processed by Jetmail must be delivered on time and free of charge to its expedition address in Hillegom. If delivery is not free of charge, freight costs paid will be charged to the client, without prejudice to Jetmail's right to refuse non-free deliveries.

3) Telephone orders:
Jetmail accepts no responsibility for telephone orders or changes to orders unless they are confirmed in writing by Jetmail. Jetmail's written confirmation is binding between the parties.

4) Delivered quantity of printed matter:
Jetmail may assume the quantities specified on the shipping advice by or on behalf of the client as correct. Jetmail accepts no liability for any difference between the delivered and advised quantities. The prices confirmed by Jetmail only apply insofar as the specified formats, weights, etc., correspond with the delivered printed matter. If the delivered material deviates or if difficulties arise during processing due to stiffness or slackness or insufficient finishing of the material, Jetmail is entitled to make adjustments and charge a surcharge.

5) Insurance:
Goods are transported at the client's risk. Delays in transport organized by Jetmail, caused by force majeure, are at the client's expense. Materials to be processed can be insured against theft, fraud, loss, misplacement, and/or damage at the client's expense. If the client does not insure the goods, Jetmail accepts no liability for the mentioned risks. The goods are not insured against fire and water damage from the moment they are in Jetmail's possession (expedition and home workers).

6) Mechanical processing:
When processing by machine, consideration must be given to the formats of the printed matter and envelopes, meaning that the length of the printed matter must be 1 cm shorter than the envelope, and the height of the printed matter must be 5 mm shorter than the envelope. If this is not complied with, a proportional surcharge may be charged.

7) Spoilage:
A maximum of 3% of the material to be sent is considered spoilage and/or routine errors.

8) Additional postage costs:
If the material to be sent cannot be sent at the rate initially assumed and extra stamps or postage are required, Jetmail is authorized to make this decision without consulting the client and charge the additional costs.

9) Remnants:
Unless otherwise instructed by the client, Jetmail has the right to return or destroy remnants of printed matter 2 weeks after the completion of the order. Return freight of printed matter, including packaging, is at the client's expense.

10) Storage:
A charge will be made to the client for printed matter and other goods stored by Jetmail for longer than one month. This amount is calculated per pallet space per day.

11) Shipped quantities:
If printed matter, letters, and/or samples are sent using "Postage Paid" or machine-franked by TPG Post, the quantity and date of dispatch will be as stated on the receipt issued by TPG Post.

6) Liability for damage

Jetmail accepts no liability for any damage, howsoever named and arising from whatever cause, except as a result of its own intent or gross negligence, and even then, only up to a maximum of the amount for the work to be performed by Jetmail or a proportional part thereof.

7) Right of refusal

1) Jetmail has the right to refuse an order, whether issued or confirmed, without giving any reason and without being liable for damages to the client or third parties.

2) The client guarantees that the nature and content of the material to be sent does not violate legal provisions and indemnifies Jetmail against legal actions by third parties.

8)  Claims

Claims can only be made in writing and within a period of 7 days after the execution of the order.
